Significant Data Fiduciary Duties

The DPDP Act creates a second tier of obligation. The Central Government may notify any Data Fiduciary, or class of them, as a Significant Data Fiduciary based on factors including the volume and sensitivity of data processed, risk to Data Principals, and potential effects on the sovereignty, integrity and electoral democracy of India. Designation is not something you opt into, and the duties that follow are substantial.

The additional duties

  • Appoint a Data Protection Officer based in India, who reports to the board or equivalent governing body
  • Appoint an independent data auditor to evaluate compliance
  • Carry out periodic Data Protection Impact Assessments
  • Carry out periodic audits, and observe any other prescribed measures
  • Exercise due diligence to verify that algorithmic software used does not pose a risk to Data Principals' rights

The DPO is a named, reachable person

This is not a mailbox owned by whoever is least busy. The DPO must be based in India, must be the point of contact for the grievance redressal mechanism, and their contact details must be published. Reporting to the governing body matters: an officer who can be overruled by the team they oversee is not performing the function the Act describes.

Independent audit means independent

The data auditor evaluates your compliance and is appointed to do so independently. Plan for the evidence they will ask for: records of processing, consent artefacts, rights-request histories, retention enforcement, breach records and the integrity of the logs underneath all of it. Evidence assembled the week before an audit tends to show that it was.

Algorithmic due diligence

The duty to verify that algorithmic software does not risk Data Principals' rights is easy to overlook and hard to retrofit. It means knowing which models are in use, what data they were trained and run on, and what happens to a model when the underlying data is corrected or erased. Keep a model inventory with lineage back to datasets.

If you might be designated, prepare early

Designation can arrive with a timetable you do not control. Large consumer platforms, banks and NBFCs, insurers, telcos, health systems and major public-sector bodies should assume the question will be asked of them. The work — a live RoPA, real DPIAs, audit-ready evidence, a model inventory — takes quarters, not weeks.

This guide is educational and general in nature — it is not legal advice. Confirm specific obligations against the DPDP Act, 2023, the DPDP Rules, 2025 and any sectoral regulations that apply to you.
